These Terms and Conditions (“Terms”) govern your access to and use of the website, customer portal, and related services operated by Chalice Pharmaceuticals / Chalice Health (“we,” “us,” “our”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and nature of the Services

The Services are intended for businesses and licensed professionals involved in lawful procurement of pharmaceutical or related products. You represent that you have authority to bind your organization where applicable. The Services are not for consumers seeking personal medical treatment advice.

2. Accounts

You must provide accurate information and keep credentials secure. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms or pose security or compliance risk.

3. Facility registration and verification

Facility users may be subject to administrative review before approval. We may approve, reject, or request further documentation at our discretion, consistent with legal and operational requirements. Approval does not guarantee fulfillment of any specific quote or order.

4. Quotes

4.1 Process

Quote requests are invitations for us to evaluate supply. A quote is not an offer unless we clearly state otherwise. Specifications, pricing, lead times, and availability may change until confirmed in writing (including through the portal or order).

4.2 Information you provide

You agree that information and uploads (including licenses and prescriptions where requested) are truthful and provided for lawful purposes. You are responsible for obtaining any internal approvals required by your organization.

4.3 Messaging

Quote-related messaging is for business communication regarding the request. You must not use it for unlawful, harassing, or malicious content. We may monitor or retain messages for quality, security, and compliance.

5. Orders and payment

If a quote is accepted and converted to an order, WooCommerce (or successor) checkout terms apply to that transaction, including taxes, shipping, and payment method rules. Risk of loss and title pass as stated on the order confirmation or invoice, or as required by applicable law and our shipping terms.

6. Compliance and restricted uses

You will use the Services only in compliance with all applicable laws, including those governing pharmaceuticals, import/export, controlled substances (if any), sanctions, anti-corruption, and data protection. You will not use the Services to:

Divert products to unauthorized channels;
Misrepresent licensure or eligibility;
Upload malware or attempt unauthorized access; or
Scrape, overload, or interfere with the Services.

7. Intellectual property

Content on the site (text, graphics, logos, software) is owned by us or our licensors. No license is granted except as needed to use the Services. You retain rights in content you submit; you grant us a license to use such content to operate, fulfill, and improve the Services and meet legal obligations.

8. Disclaimers

THE SERVICES AND ANY INFORMATION ON THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing on the site is medical advice. Product information does not replace professional judgment or local regulatory requirements.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100) IF NO SUCH PAYMENT APPLIES.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the minimum permitted by law.

10. Indemnity

You will defend and indemnify us against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your misuse of the Services, violation of these Terms, or violation of law—except to the extent caused by our willful misconduct.

11. Suspension and termination

We may suspend or terminate access to the Services at any time, with or without notice, for operational, legal, or security reasons. Provisions that by nature should survive (e.g., IP, disclaimers, limitations, indemnity) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, excluding conflict-of-law rules, unless a different governing law is mandatory in your jurisdiction for consumers (if any provision applies to you as a consumer).
Venue: state or federal courts located in Dallas County, Texas, unless prohibited by law.
If you are in the EU/UK, you may have mandatory local rights that cannot be waived by this section.

13. Changes

We may modify these Terms by posting an updated version. Continued use after the effective date constitutes acceptance of the changes, except where stricter notice is required by law.
